Helen is an experienced commercial and IT lawyer.

Helen specialises in non-contentious IT, IP and commercial matters, including data protection and freedom of information law, IT procurement contracts and advising software houses. She also advises on intellectual property assignment and licensing.
Helen has a particular interest in data protection issues, including advising on international data transfers, complex data sharing agreements and the interplay between data protection rules and regulatory requirements in regulated sectors.
Helen’s experience includes advising on the following:
Outsourcing arrangements, including offshore outsourcing;
The establishment of new products and services;
Framework agreements and master services agreements;
Standard terms, including hoc support and alternative clauses;
Data protection, including carrying out data protection audits;
IT procurements, including reviewing suppliers’ standard terms and negotiating bespoke provisions;
Agreements with clients and distributors, including a pilot project outside the UK;
Distribution agreements with competition law implications, including international distribution agreements and other agreements requiring consideration of the vertical block exemption and the technology transfer block exemption;
Agency and introduction agreements, including agreements with international aspects.
